Who owns the Herbalife Nutrition and who is behind ?

Herbalife Nutrition comes from the idea of a contractor, single, named Mark Hughes. It has started to sell its products on a parking of supermarket. Strong of its success, Herbalife is now a limited company with over 4 billion turnover per year and listed on the stock Exchange.

The early days of Herbalife Nutrition

In February 1980, Mark Hughes began selling the original weight management Herbalife, which was in the trunk of his car. Hughes often stated that the genesis of his product and program stemmed out of the concerns of his mother Joanne in the field of weight loss, which he attributed to the premature death to an eating disorder and an unhealthy approach to weight loss. According to a website of Herbalife, the company's goal was to change the eating habits of the world.

Their first product was a protein shake designed to help people manage their weight. He structured his company using a model of direct sales and multi-level marketing. By 1982, Herbalife had received complaints from the Food and Drug Administration relating to claims made on certain products , and the inclusion of oil of mandrake, the root of pica, and flaxseed oil "food grade" in another. Following these complaints, the company has modified its claims and reformulated the product.

The canadian department of justice has filed a complaint against the company in November 1984 for medical claims-misleading statements in advertisements.

In 1985, the company has been ranked by Inc. as the private company with the fastest growth in America, after that its turnover has risen from 386 000 to 423 million dollars during the previous five years. In the same year, the attorney general of California has sued the company for making exaggerated statements on the effectiveness of its products. The company has suffered in this trial and it has been forced to lay off nearly 800 employees in may 1985. The company has settled the dispute for $ 850,000 without admitting fault, but has stopped selling two products. In 1986, Herbalife became a publicly traded company on the NASDAQ and renamed Herbalife International. However, due to the negative publicity of the trial to the FDA, the company recorded uloss of $ 3 million this year.

In 1988, the company had extended its field of action in Japan, Spain, New Zealand, Israel and Mexico, and its global sales have reached $ 191 million in 1991. In 1993, the company made a secondary offering of five million shares and has launched in 1995 a line of personal care products including perfumes and cleaning products for the face. In 1996, the company had extended its field of action in 32 countries, the international sales representing more than half of total sales. The company has been sued in a civil court by two former distributors in 1997 to have retained the income that she had earned.



In 1999, Hughes has tried to redeem the company private after he claimed that Wall Street undervalues the company. Although the board of directors has approved the offer to purchase, the shareholders of the company have brought legal action against the company because they felt that the price of the shares that were offered was unfair. On may 20, 2000, Mark Hughes died at the age of 44 years. The results of the autopsy to the coroner of the county of Los Angeles have concluded that the business man had died of an accidental overdose of alcohol and doxepin, an antidepressant. After his death, the company was led by Christopher Pair up in October 2001.

In 2002, the company was purchased for $ 685 million by J. H. Whitney & Company and Golden Gate Capital, who have reprivatisée[28]. At the same time, sources of ephedrine-based plants have been removed from the Herbalife products in 2002 after several u.s. States have banned supplements containing these plants. In April 2003, Michael O. Johnson joined Herbalife as CEO following a 17-year career within the Walt Disney Company. On December 16, 2004, the company made an initial public offering on the New York stock Exchange of $ 14.5 million common shares at a price of $ 14 per share[31], giving the owners $ 1.3 billion. In the mid-2000s, Herbalife has modernized its manufacturing facilities to produce about 60% of its products in-house, and has changed the way the company sells its products to distributors.

In march 2014, Herbalife has been the subject of an investigation by the federal trade Commission of the United States and of the State of Illinois. May 7, 2014, the company announced that it had entered into an agreement with the Bank of America Merrill Lynch to repurchase $ 266 million worth of its shares.

In July 2016, Herbalife has agreed to change its business model and to pay $ 200 million to its distributors in the framework of an agreement with the FTC. The company announced in November 2016 that the director-general Richard Goudis would take the management of the company in June 2017 and that Johnson would become ceo. In August 2017, the company announced that it would buy upto $ 600 million of its shares. The company also announced that its shareholders had approved a division of shares at the rate of two to one. In January 2019, Herbalife has announced that it is replacing Goudis after reviewing the comments he had made before assuming the position of CEO and which were "contrary to the trade policies and practices related to the expenses of the company" and inconsistent with the standards and the culture of the company. The former CEO Johnson then assumed this role on an interim basis.
